1. Agreement to Terms By accessing our website, using our services, or interacting with any of our marketing funnels, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our services.
2. Description of Services SMART Web Advisors ("we," "us," "our") provides managed CRM services, marketing support, social media management, and related digital advisory services (the "Services"). Our Services are delivered primarily through the GoHighLevel software platform. The specific scope of Services for each client will be outlined in a separate Service Agreement or proposal.
3. Client Accounts To access certain Services, you may be required to create a client account through our secure portal. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Fees and Payment Clients agree to pay all fees associated with the Services as outlined in their Service Agreement. Services are typically billed on a recurring monthly basis. Payments are due on the date specified in the invoice. Failure to make timely payments may result in the suspension or termination of your Services. All fees are non-refundable unless otherwise stated in your Service Agreement.
5. Intellectual Property We retain ownership of all our pre-existing materials, methodologies, software configurations, workflows, and proprietary processes ("Our IP"). We grant you a limited, non-exclusive, non-transferable license to use Our IP solely for the purpose of receiving the Services during the term of our engagement.
You retain full ownership of your pre-existing data, client lists, content, logos, and all other proprietary information you provide to us ("Your IP").
6. Acceptable Use You agree not to use our Services or the provided CRM platform for any unlawful purpose, including but not limited to sending spam, infringing on the intellectual property of others, or distributing malicious software.
7. Confidentiality Both parties agree to keep all non-public information, including business strategies, client data, and proprietary methods, confidential during and after the term of our engagement, except where disclosure is required by law.
8. Limitation of Liability To the fullest extent permitted by law, SMART Web Advisors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of our Services.
9. Termination Either party may terminate the Service Agreement with thirty (30) days written notice. We reserve the right to suspend or terminate services immediately if you are in breach of these Terms. Upon termination, your access to the CRM platform and our Services will be revoked.
10. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles.
